Open Loop/Legal
You pay monthly, you own the clips, and you can stop any month.
Everything below is the detail behind that sentence. If anything here contradicts something we said on a call, tell us — we would rather fix the wording than argue about it later.
This service is operated by Franklin Gonzalez, trading as Open Loop Clips, a sole proprietorship based in Los Angeles, California. In these terms "we" and "us" mean that business, and "you" means the person or company paying for the service.

You choose a monthly plan. Each plan includes a number of finished vertical clips per month:
A clip means one finished vertical video cut from your source audio or video, with word-synced captions burned in, delivered as a file you can post. Plans count clips, not episodes — a longer episode simply uses more of the month's allowance.
Unused clips roll into the following month and expire at the end of it. They do not accumulate indefinitely, and they are not refundable as cash.
If an episode does not hold enough moments that work on their own, we cut fewer rather than padding the count with weak clips. We will say so at the time. Those unused clips roll over under the rule above.
Turnaround is counted in business days from when we have a usable source file, not from when the episode is recorded:
If we are going to miss a turnaround, we will tell you before the deadline rather than after it.
You are responsible for the content of your episodes. We edit what you send us; we do not verify claims made in it.
You do, outright. Once a clip is delivered it is yours, with no licence back to us and no restriction on how you use it.
We do not post on your behalf unless you ask us to. We will not use your footage, your name, or your clips as a portfolio sample, case study, or advertisement without your written permission. If you give that permission you can withdraw it later and we will take the material down.
Every clip is checked before delivery for anything that commonly costs reach or ad revenue, and we treat that as part of the job rather than an extra. Where we find a problem we bleep the audio and censor the caption — both, because platforms transcribe the audio as well as reading the text. The opening seconds get the strictest treatment, since that is what gets scored hardest. Where a moment cannot be made safe, we say so and recommend a different one rather than delivering it and hoping.
Music. An automated check reads speech and cannot hear a copyright problem, so we listen for music ourselves. We will not open a clip inside a theme tune, we flag any moment with music playing under the talking, and where a track puts a clip at risk we will recommend a different moment. Tell us up front if your episodes carry music you do not own and we will cut around it from the start.
What we cannot promise. We work to keep every clip monetisable and we will tell you when something is borderline — but we cannot guarantee that a given clip will be monetised, will not be limited, or will not be claimed or removed. Platforms set their own rules, apply them inconsistently, change them without notice, and make automated decisions we have no visibility of. If a clip does get actioned, tell us and we will re-cut or replace it at no charge under clause 7.
Tell us within 7 days of delivery and we will re-cut it, retime it, or replace it with a different moment. A replacement does not count against your monthly allowance — it is the same clip, done properly.
This covers our judgement and our execution. It does not cover a change of direction on your side after the fact, such as deciding a topic should not have gone out; those are new clips against the month's allowance.
If a payment fails, Stripe will retry it and email you. If it keeps failing we will pause work rather than quietly build up a balance, and we will tell you before we do.
We may change prices with 30 days' notice by email. Existing subscriptions keep their current price until that notice period ends, and you can cancel before it takes effect.
You can cancel yourself at any time from the billing portal link in any receipt — no email to us required, no retention call, no notice period.
Cancellation takes effect at the end of the month you have already paid for. You keep the service and any remaining clip allowance until then. We do not refund part-months, because the work is already scheduled against them.
Everything we have delivered stays yours after you cancel.
We may stop working with you, with a refund of any unused part of the current month, if:
This is not a clause we expect to use. It is here so that neither of us has to argue about whether it exists.
Episodes you send us before they are published are confidential. We do not share them, discuss their contents, or use them for anything other than producing your clips.
We are responsible for doing the work described here with reasonable care and skill. If we get something wrong, we will fix it or refund it.
Beyond that, our total liability to you in any twelve-month period is limited to the amount you paid us in that period. We are not liable for lost revenue, lost audience, lost sponsorship, or platform decisions about your content — including demonetisation, limited reach, copyright claims, or account action.
Nothing here limits liability for anything that cannot lawfully be limited.
If we change these terms in a way that materially affects you, we will email you at least 30 days before it takes effect. Carrying on after that date means you accept the change; cancelling before it means you do not, and the old terms apply until your paid period ends.
These terms are governed by the laws of California, United States, and any dispute goes to the courts there.
